Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Parity Layer's website, dashboard, and API (the "Service"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm you have authority to bind that company.

2. The Service

Parity Layer tests cheaper AI models against your current model on your own prompts, produces statistical quality proofs, and routes traffic to models that pass, with automatic fallback to your baseline. The Service includes an offline proof option based on request logs you upload.

Quality proofs are statistical measurements on sampled traffic, not guarantees. Savings depend on your workload; published figures such as a 30 to 60 percent range are typical bands on prompts that pass proof, not a promise about your specific spend. The Service is not intended for coding agents.

3. Accounts and keys

You are responsible for your account credentials and for provider API keys you connect. Keys are used solely to operate the Service on your traffic. Keep your credentials confidential; you are responsible for activity under your account.

4. Acceptable use

You agree not to misuse the Service, including: breaking the law, infringing others' rights, sending malicious traffic, attempting to access other customers' data, reverse engineering our proof systems, reselling the Service without agreement, or using it to build a directly competing routing or evaluation product.

Your use of underlying model providers through the Service must also comply with those providers' terms and usage policies.

5. Customer content

You retain all rights to your prompts, responses, and uploaded logs ("Customer Content"). You grant us the licence needed to operate the Service: processing, storing, and comparing Customer Content to produce routing decisions and proofs. We do not use Customer Content to train foundation models. Our handling of personal data is described in the Privacy Policy.

6. Fees

Paid usage is billed as described at paritylayer.com/pricing, typically through prepaid credits. Fees are exclusive of taxes. Usage-based model costs incurred through your own provider keys are yours. We may change pricing with notice; changes apply from your next purchase.

7. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that any particular savings will be achieved.

8. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total liability under these Terms is limited to the amounts you paid to Parity Layer in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, security risk, or where required by law, with notice where practicable. Sections that by their nature should survive termination (including fees owed, disclaimers, and liability limits) survive.

10. Intellectual property

The Service, including our patent-pending proof technology, software, and content (excluding Customer Content), is owned by Parity Layer and its licensors. No rights are granted except as expressly set out in these Terms.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where the law of your country of residence grants you mandatory protections or venue rights.

12. Changes and contact

We may update these Terms; material changes will be notified by email or in the product, and continued use after the effective date constitutes acceptance. Questions: roman@paritylayer.com.
